These Terms and Conditions ("Terms") are a binding agreement between you and The Clinic Place Pte. Ltd, a Singapore company trading as WhautoVoice ("WhautoVoice", "we", "us"). They govern your use of the website at whautovoice.com (the "Website") and the WhautoVoice cloud platform, applications, APIs and related services (together, the "Services"). By creating an account or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Using the Services
1.1 Eligibility and registration
You must be at least 18 years old and able to form a binding contract. To use the Services you must create an account with a valid email address and any other information marked as required, and you may be asked to verify your email or mobile number. You must keep your login credentials confidential and are responsible for all activity under your account.
1.2 Account owner
The person who opens the account is the account owner and contracting party. If you open an account on behalf of an employer or other entity, that entity is the account owner, you represent that you have authority to bind it to these Terms, and "you" in these Terms refers to that entity. The account owner may transfer ownership to another user through Settings.
1.3 Team members and workspaces
You may invite team members to workspaces within the limits of your plan. You are responsible for their compliance with these Terms and for the access rights you grant them. Each workspace is a separate configuration with its own numbers, provider credentials and data; you are responsible for all workspaces in your account.
1.4 Changes to the Services
We continuously improve the Services and may add, change or remove features. We will give reasonable notice of changes that materially reduce functionality you pay for.
2. Plans, trials and billing
2.1 Plans and limits
The Services are offered on subscription plans described on our pricing page. Each plan includes limits such as workspaces, agent seats, phone numbers, AI voice minutes, included calls, concurrency, voice bots, call flows, contacts, retention and support tier. We may enforce limits technically. Human agent talk time is not metered on any plan.
2.2 Free trial
New accounts receive a 14-day free trial of a plan. No payment method is required during the trial. At the end of the trial, the Services are limited until you choose a plan and provide payment. We may modify or end trial offers at any time and may refuse trials to accounts we believe are abusing them.
2.3 Fees and renewal
Fees are stated in US dollars and are charged in advance, monthly or yearly according to the billing period you select. Subscriptions renew automatically at the end of each period until cancelled. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period and you keep access until then.
2.4 Overage
If your usage in a month exceeds the AI voice minutes or included calls of your plan, we charge overage at the rates published on the pricing page (at the time of writing US$0.05 per AI minute and US$0.01 per call). Total overage in any month is capped at 50% of your monthly plan price. Overage is invoiced with your next renewal or, for yearly plans, monthly in arrears. We may throttle or pause AI calls once the cap is reached until the next period or until you upgrade.
2.5 Upgrades and downgrades
Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal. If a downgrade would leave you above the new plan's limits, you must reduce usage first.
2.6 Taxes and payment
Fees exclude taxes. You are responsible for any applicable sales, goods and services, value added or withholding taxes. Payments are processed by Stripe or Chargebee under their terms. If a payment fails we may suspend the Services after notice until payment is received.
2.7 Price changes
We may change prices with at least 30 days' notice by email. Changes apply from your next renewal after the notice period.
3. Your provider accounts
The Services operate using telephony and AI accounts that you own: an account with Twilio, Plivo or Vonage (a "Telephony Provider") and an account with at least one AI engine, OpenAI, xAI or ElevenLabs (together, "Provider Accounts"). You acknowledge and agree that:
- WhautoVoice does not resell telephony or AI services and does not mark up their fees. All charges for phone numbers, calls, recordings, SMS and AI usage are billed to you directly by the relevant provider under your agreement with them.
- You are responsible for maintaining your Provider Accounts in good standing, including their fees, credit balances, regulatory bundles, number verification and know-your-customer requirements.
- You are bound by each provider's terms of service and acceptable use policies, including Twilio's, Plivo's, Vonage's, OpenAI's, xAI's and ElevenLabs', and you must not use WhautoVoice to do anything those policies prohibit.
- You grant WhautoVoice permission to use the credentials you connect to configure your Provider Accounts on your behalf, including setting webhooks on numbers and applications, purchasing numbers you request, placing and controlling calls, and retrieving usage records, recordings and transcripts.
- Service availability and call quality depend on your Provider Accounts and their networks. We are not responsible for outages, quality problems or fee changes originating with a provider.
- You are responsible for the security of your provider credentials. We encrypt them at rest, but you should rotate them if you believe they have been exposed and disconnect them when you stop using WhautoVoice.
4. Calling compliance and acceptable use
Telephone calls are regulated in every country. You are solely responsible for ensuring that your use of the Services complies with all laws that apply to you and to the people you call or who call you, in every jurisdiction involved. Without limiting that, you agree that you will:
- Obtain any consent and give any notice required before recording a call, including two-party consent where the law requires it, and configure recording per number accordingly.
- Disclose that a caller is speaking with an automated or AI system where the law requires it, and honour a caller's request to speak to a human where required.
- Only place outbound calls, including campaign and AI bot calls, to people who have given the consent required by applicable law (for example the US Telephone Consumer Protection Act and related rules, the UK Privacy and Electronic Communications Regulations, the Singapore Do Not Call provisions of the PDPA, and their equivalents elsewhere), and respect national and internal do-not-call lists and permitted calling hours.
- Not spoof, misrepresent or use a caller ID you are not authorised to use.
- Not use the Services for unsolicited marketing, robocalling, telemarketing fraud, harassment, threats, or any call that is deceptive or unlawful.
- Not use the Services for high-risk activities such as debt collection or political calling without ensuring full compliance with the specific rules that apply.
- Comply with data protection laws applicable to the personal data of callers and contacts, as described in our Privacy Policy.
We may monitor aggregate usage patterns to detect abuse. We may suspend numbers, campaigns, bots or accounts that we reasonably believe breach this section, and we will cooperate with providers and authorities investigating unlawful calling.
5. Emergency calls
The WhautoVoice browser softphone and AI voice agents do not support calls to emergency services (such as 911, 999, 112, 995 or 000). The Services are not a replacement for a traditional telephone line. You must maintain an alternative means of contacting emergency services and inform your team members of this limitation. Where a Telephony Provider offers emergency calling on a number you connect, its availability and accuracy are governed solely by that provider's terms.
6. AI features
- AI voice agents generate speech and take actions based on the prompts, tools, knowledge and rules you configure, using models operated by the AI engine you select (OpenAI, xAI or ElevenLabs). AI output can be inaccurate, incomplete or inappropriate. You are responsible for testing your bots, reviewing transcripts, and setting hand-off rules suitable for your use case.
- You must not deploy AI agents to give medical, legal, financial or other professional advice without appropriate human oversight and any licences the law requires, and you must configure them to hand off or decline where a human is required.
- Custom HTTP tools and MCP servers you connect to a bot are under your control. Actions the bot takes through them (for example booking an appointment or issuing a refund) are your actions. Secure those endpoints and limit what they can do.
- AI usage is billed by your AI engine vendor under your account. WhautoVoice counts AI minutes for plan limits based on the duration of AI-handled call legs.
- We do not guarantee any particular containment rate, accuracy or outcome from AI agents.
7. Your data
7.1 Ownership
You own the contacts, recordings, transcripts, configurations and other content you submit to or generate through the Services ("Customer Data"). You grant us a worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and secure the Services, to comply with law and as otherwise permitted in our Privacy Policy.
7.2 Your responsibilities
You are responsible for the accuracy and legality of Customer Data and for having the rights and consents needed to submit it, including the personal data of contacts and callers. You are the controller of Call Data and we act as your processor, as described in the Privacy Policy.
7.3 Retention and export
Recordings, transcripts and voicemails are retained for the period stated in your plan. You can export Customer Data at any time from Settings while your account is active. After termination we keep account data for up to 90 days to allow reactivation and then delete it, except where the law requires longer retention.
7.4 Aggregated data
We may use aggregated, de-identified data about how the Services are used to operate and improve them. Such data does not identify you, your team or your callers.
8. Prohibited actions
You must not, and must not allow anyone else to:
- Use the Services in breach of section 4 or of any applicable law
- Reverse engineer, decompile, copy, modify or create derivative works of the Services, or access them to build a competing product
- Circumvent plan limits, metering, security controls or authentication
- Share accounts or seats between people, or resell the Services without a written agreement with us
- Upload malware, or probe, scan or test the vulnerability of the Services without our written permission
- Use automated means to access the Services other than through our documented API within its rate limits
- Impersonate any person or entity, or misrepresent your affiliation with anyone
- Interfere with any other customer's use of the Services
9. Intellectual property
The Services, Website, software, templates, documentation, designs, trademarks and all related intellectual property are owned by WhautoVoice or its licensors and are protected by law. Except for the limited right to use the Services under these Terms, no rights are granted to you. Bot templates and default prompts we provide may be used only within the Services. If you give us feedback or suggestions, we may use them without obligation to you.
10. Third-party services and links
The Services depend on and integrate with third-party services including Telephony Providers, AI engines, payment processors and any tools, MCP servers or webhooks you connect. Those services are governed by their own terms and we are not responsible for them. Links on the Website to third-party sites are provided for convenience and do not imply endorsement.
11. Disclaimers
The Services and Website are provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing. We do not warrant that the Services will be uninterrupted, error-free or secure, that calls will connect or be of any particular quality, that AI output will be accurate, or that the Services will meet your requirements or achieve any particular result. Calculators and tools on the Website provide estimates for information only and are not financial, legal or professional advice.
12. Limitation of liability
To the fullest extent permitted by law, WhautoVoice and its officers, employees, contractors and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Services or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to the Services or these Terms in any 12-month period will not exceed the fees you paid to WhautoVoice for the Services in that period. Fees you pay to Telephony Providers, AI engine vendors or other third parties are not fees paid to WhautoVoice.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Indemnity
You will defend, indemnify and hold harmless WhautoVoice and its officers, employees, contractors and affiliates from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: your Customer Data; your use of the Services in breach of these Terms or applicable law, including calling, recording, consent and data protection laws; your Provider Accounts; actions taken by AI agents you configure; or any dispute between you and a caller, contact, team member or provider.
14. Suspension and termination
You may cancel your subscription or delete your account at any time from Settings. We may suspend or terminate your access, in whole or in part, with notice where practicable, if you breach these Terms, if your use creates legal or security risk for us, other customers or providers, if a provider requires it, or if fees remain unpaid after notice. On termination your right to use the Services ends, provider credentials are deleted from our systems, and Customer Data is handled as described in section 7.3. Sections that by their nature should survive termination, including sections 7, 9, 11, 12, 13 and 16, will survive.
15. Refunds
Fees are non-refundable, in whole or in part, regardless of usage, except where required by law. This applies to monthly and yearly subscriptions and to overage charges. If you cancel, you keep access until the end of the period you have paid for. The free trial exists so you can evaluate the Services before paying.
16. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall first be attempted to be resolved by good-faith negotiation. If not resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with its rules for the time being in force, which rules are deemed incorporated by reference. The seat of arbitration shall be Singapore, the tribunal shall consist of one arbitrator, and the language of the arbitration shall be English. Nothing prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.
17. Miscellaneous
- We may amend these Terms by posting the updated Terms on the Website and, for material changes, emailing account owners at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
- These Terms, the Privacy Policy and any order or plan you select form the entire agreement between you and WhautoVoice regarding the Services and supersede prior agreements.
- If any provision is held unenforceable, the remainder continues in effect and the provision is enforced to the maximum extent permitted.
- No failure or delay by us in exercising a right is a waiver of that right.
- You may not assign these Terms without our consent. We may assign them to an affiliate or successor.
- Neither party is liable for delay or failure caused by events beyond its reasonable control, including provider outages, network failures, acts of government or natural disasters, except for payment obligations.
- Notices to us should be sent to hello@whautovoice.com. Notices to you will be sent to the account owner's email address.
